Terms & Conditions

QRsite.nl is a trade name of CardFella Studio B.V.
All agreements and invoicing are handled by CardFella Studio B.V.

1. Definitions

Client: the natural or legal person entering into an agreement with CardFella Studio B.V.
Services: design, development and delivery of websites and booking systems (“DirectBoeker” / “SmartBoeker”), including supplementary modules.
Delivery: the moment the agreed work is ready for use.

2. Applicability

These terms apply to all offers, quotations, agreements and deliveries of CardFella Studio B.V., unless agreed otherwise in writing.

3. Offers & Agreements

  • Quotations are valid for 14 days, unless stated otherwise.
  • An agreement is concluded upon written confirmation or digital approval (e.g., e‑mail or WhatsApp).

4. Prices & Payment

  • All prices are exclusive of VAT unless stated otherwise.
  • Payment: 30% deposit upon approval; balance upon delivery.
  • Invoices are payable within 7 days of the invoice date. In case of late payment, performance may be suspended.

5. Delivery & Revisions

  • Delivery within the agreed timeframe, provided all materials (texts/images/logos) are supplied on time.
  • Includes 2 rounds of revisions within the agreed scope. Additional work will be quoted separately.
  • Go‑live/acceptance: after delivery the client confirms via e‑mail/WhatsApp. Minor bugs reported within 30 days will be fixed free of charge.

6. Hosting & Domain

  • Year 1 hosting and domain are included, unless agreed otherwise.
  • Renewal after year 1 at the then‑current rate; cancellation possible up to 30 days before the renewal date.
  • Upon termination, content and data will be transferred once all invoices have been paid.

7. Warranty & Maintenance

  • 30‑day warranty on technical functioning within the agreed scope.
  • Errors caused by misuse or changes made by third parties are excluded from the warranty.
  • Maintenance/further development after the warranty period is on a quotation basis.

8. Availability & Third Parties

  • No (uninterrupted) uptime guarantee; we depend on third parties (hosting providers, e‑mail, WhatsApp, APIs, CDNs).
  • Outages at third parties constitute force majeure. We strive for a quick solution or workaround.

9. Content & Compliance

  • The client ensures that supplied content is lawful and does not infringe third‑party rights.
  • The client indemnifies CardFella Studio B.V. against claims relating to the supplied content.

10. Data & Privacy

  • We process only the personal data necessary to perform the assignment.
  • Our Privacy Policy applies to such processing. Where required, the parties will enter into a data processing agreement.

11. Intellectual Property

  • Upon full payment, the client receives the right to use the delivered website and content.
  • CardFella Studio B.V. retains the right to display the work as portfolio/reference.

12. Liability

  • No liability for indirect damage, loss of revenue or consequential damage.
  • Maximum liability is limited to the invoice amount of the relevant assignment.

13. Changes & Additional Work

Changes after approval or outside scope will be carried out after written confirmation and invoiced at the current hourly rate or via an additional quotation.

14. Force Majeure

In the event of force majeure (including outages, government measures, illness), performance may be suspended or rescheduled without compensation.

15. Cancellation

  • Cancellation before the start: the deposit is forfeited.
  • Cancellation during execution: compensation for the work performed plus expenses incurred.

16. Final Provisions

  • If any provision is invalid, the remaining provisions remain in force (severability).
  • Order of precedence: 1) agreement/proposal, 2) these terms, 3) additional documentation.
  • Dutch law applies; competent court: The Hague.
